BC energy company General Fusion aims to go public via a $1B SPAC deal
Vancouver-based General Fusion has announced a definitive agreement for a business combination with a special purpose acquisition company (SPAC), valuing the combined entity at approximately $1 billion.
General Fusion has entered into a definitive agreement to go public through a merger with a special purpose acquisition company (SPAC), a transaction that values the combined company at an estimated $1 billion. The announcement on Thursday follows a challenging period for the firm, which conducted layoffs and saw its CEO make a public appeal for new investment less than a year ago. This move to access public markets represents a significant strategic shift for the Vancouver-based company, aiming to secure the substantial capital required for the next phase of its technology demonstration and commercialization roadmap. The company is developing a Magnetized Target Fusion (MTF) approach, a hybrid concept that combines elements of magnetic and inertial confinement. General Fusion's design involves injecting a magnetically-confined plasma, likely a spheromak, into a vortex of liquid lithium-lead. An array of pneumatic pistons then rapidly compresses the liquid metal, which in turn compresses and heats the plasma to fusion conditions. This method aims to avoid the large, steady-state superconducting magnets required by tokamaks and stellarators, potentially offering a lower-cost and more mechanically straightforward path to a fusion power plant. The liquid metal also serves as the first wall, heat transfer medium, and tritium breeding blanket, addressing several key engineering challenges simultaneously.

The SPAC transaction follows a period of financial pressure across the private fusion sector. General Fusion's recent history of workforce reductions and public calls for capital highlights the intense, long-term funding requirements inherent in developing commercial fusion energy. While the industry has seen significant private investment, with billions flowing to various companies, the path from experimental physics to commercially viable power plants is exceptionally capital-intensive. This public listing strategy, if successful, could provide General Fusion with the necessary resources to advance its program and construct its next-generation machine, while also serving as a bellwether for investor appetite in publicly-traded fusion ventures. Proceeds from the transaction are expected to fund the continued development and construction of General Fusion's planned Lawson Machine 26 (LM26) demonstration plant. This facility is designed to validate the viability of the company's MTF technology at a power-plant-relevant scale, aiming to achieve fusion conditions and demonstrate key subsystems in an integrated fashion. The successful completion of the SPAC merger and subsequent capital infusion will be critical milestones. Observers will be watching closely to see how the public markets value a pre-revenue, deep-tech company in the fusion space and whether this transaction catalyzes similar moves by other leading private fusion companies.
